Acceptance of Terms

By accessing and using this website, you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

These terms apply to all visitors, users, and customers of our platform.

Account Responsibilities

The PocketWebz Commerce Platform ("Platform") is a service provided and operated by DevXCorp ("Company"). To access the Platform, you must register for an account. By creating an account, you legally agree to:

Accuracy of Information:

Provide and maintain accurate, current, and complete information for your business entity and authorized representatives.

Credential Security:

Maintain the strict confidentiality of your login credentials. You are the sole authorized user of your account.

Accountability:

Accept full responsibility for all activities, transactions, and changes that occur under your account, including actions taken by your staff or third-party integrations.

Breach Notification:

Notify the PocketWebz support team immediately of any unauthorized access, breach of security, or suspicious activity related to your account.

DevXCorp reserves the right to suspend, restrict, or terminate accounts that provide false information or violate these security obligations.

Fees, Payments & Taxes

By using the PocketWebz Platform, you agree to the payment of applicable fees as set forth in your selected pricing plan.

Platform Charges (Transaction Fees):

• Commission: You acknowledge that DevXCorp charges a Platform Fee (Commission) on transactions processed through your store. This fee is calculated as a percentage of the transaction value and/or a fixed fee per order, as defined in your specific pricing tier.
• Deduction Authorization: You explicitly authorize DevXCorp (or our payment gateway partners) to deduct this Platform Fee automatically from the proceeds of your transactions before the remaining funds are settled to your bank account.
• Non-Refundable: Platform Fees are non-refundable, even if a transaction is later refunded or disputed by the customer.

Subscription & Invoicing:

• If your plan involves a recurring subscription, fees are billed in advance. Failure to pay may result in store suspension.
• DevXCorp reserves the right to update pricing and platform fees with 30 days' notice. Continued use of the platform after the notice period constitutes acceptance of the new rates.

Taxes (GST):

• All fees quoted are exclusive of Goods and Service Tax (GST) unless stated otherwise.
• You are responsible for all taxes associated with your business operations.
• DevXCorp will collect GST on the Platform Fee and Subscription Fee as required by Indian law.

Intellectual Property Rights

DevXCorp Property:

The Platform is a proprietary Cloud Commerce Ecosystem. All underlying technology and assets, including but not limited to:

• Platform software, source code, algorithms, and system architecture
• System templates, default themes, and UI/UX design elements
• Brand Assets: The name "PocketWebz," the PocketWebz logo, and all associated graphics, page headers, button icons, scripts, and service names are Service Marks and proprietary trade dress of DevXCorp
• Official documentation, APIs, SDKs, and integration tools

...are the exclusive property of DevXCorp and are protected by the Copyright Act, 1957, and applicable intellectual property laws.

Merchant Content:

• Ownership: Merchants retain full ownership of their specific product listings, product photography, trademarks, and written store content.
• License Grant: By uploading content to the Platform, you grant DevXCorp a worldwide, royalty-free, non-exclusive license to host, display, cache, and process your content solely for the purpose of providing the Services.
• Warranty: You represent and warrant that you possess all necessary rights and permissions for any content you upload to your store.

Restrictions - You strictly agree not to:

• Copy, modify, reverse-engineer, decompile, or attempt to derive the source code of the Platform
• Use the "PocketWebz" or "DevXCorp" name, logo, or brand assets in a way that implies endorsement, partnership, or sponsorship without prior written consent
• Scrape, harvest, or systematically extract Platform data or design assets

Prohibited Activities

As a user of the Platform, you agree to adhere to the following standards to ensure the safety and performance of the shared infrastructure:

System Integrity & Abuse:

• Unlawful Access: You shall not attempt to access, view, or modify the stores, data, or admin panels of other merchants within the ecosystem
• Security Evasion: You shall not bypass, breach, or disable any authentication, security protocols, or access control measures
• Resource Usage: You shall not burden the shared infrastructure (e.g., via DDoS attacks, botnets, or unoptimized automated scripts) in a manner that disrupts service for other users
• Data Scraping: You shall not use automated bots, spiders, or scrapers to access Platform features or harvest data

Illegal & Harmful Commerce:

• Prohibited Goods: You shall not sell counterfeit goods, stolen items, hazardous materials, or products prohibited by Indian law
• Fraudulent Activity: You shall not engage in money laundering, credit card fraud, or deceptive marketing practices
• Malicious Code: You shall not upload viruses, trojans, malware, or any code intended to damage the Platform

Violation of this section constitutes a material breach of this Agreement and may result in immediate, permanent account termination and legal action.

Limitation of Liability

To the maximum extent permitted by applicable law:

"As Is" Service:

• DevXCorp provides the PocketWebz Platform on an "as is" and "as available" basis without warranties of any kind
• We do not guarantee that the Platform will be uninterrupted, error-free, secure, or free from cyber-attacks
• We are not liable for temporary downtime, data loss during migration, or technical failures beyond our reasonable control (Force Majeure)

Merchant-Customer Relationship:

• DevXCorp provides the technical infrastructure but is not a party to the transactions between you (the Merchant) and your customers
• We do not verify, endorse, or guarantee the quality, safety, or legality of any products sold by Merchants
• All disputes regarding purchases, refunds, or product quality must be resolved directly between the Merchant and the Customer

Liability Cap:

• In no event shall DevXCorp's total aggregate liability exceed the total subscription fees paid by you in the six (6) months preceding the claim
• We are not liable for indirect, incidental, special, consequential, or punitive damages

This limitation does not affect your statutory rights under the Consumer Protection Act, 2019 or the Information Technology Act, 2000.

Indemnification

You agree to indemnify, defend, and hold harmless DevXCorp and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, and expenses arising from:

Your Business Operations:

• Any products or services sold through your store
• Any claims by your customers regarding refunds, defective goods, or shipping disputes
• Your failure to collect or remit applicable taxes
• Any misrepresentation or breach of warranty made by you

Platform Misuse:

• Your violation of any term of this Agreement
• Your violation of any third-party right, including copyright, property, or privacy rights
• Any security breach resulting from your negligence

DevXCorp reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you.

Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting. Your continued use of our services after changes constitutes acceptance of the modified terms.

We recommend reviewing these terms periodically. For significant changes, we will provide notice via email or website announcement.
